These Terms of Service ("Terms") are a binding agreement between you (and the business you represent) and Flagstone CRM LLC, a Wyoming limited liability company with a mailing address of 1309 Coffeen Avenue, STE 1200, Sheridan, WY 82801, United States ("Flagstone," "we," "us," or "our"). They govern your access to and use of flagstonecrm.com, the Flagstone CRM web application, the customer portal, and any related services (together, the "Service").
By creating an account, starting a free trial, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use the Service
The Service is for business use only, by landscaping and related property-service businesses. You must be at least 18 years old and have authority to bind the business you sign up for. If you sign up on behalf of a company, "you" means that company. You may not use the Service for personal, family, or household purposes.
2. The Service
Flagstone provides software for managing customers, properties, estimates, scheduling, crews, invoices, payment tracking, a client portal, and AI-assisted drafting and suggestions. We may add, change, or remove features over time. Features described as "coming soon" or "in development" (including the mobile app) are not part of the Service until released, and we do not promise any release date.
3. Accounts and security
You must provide accurate information and keep it up to date. You are responsible for all activity under your account, for keeping your login credentials confidential, and for the actions of every crew member, employee, or other person you give access to. Tell us promptly at support@flagstonecrm.com if you think your account has been compromised. We may require you to use additional security measures such as multi-factor authentication.
4. Free trial, subscriptions, and billing
Free trial. New accounts receive a 60-day free trial with full Pro+ access, no setup fees and no feature restrictions. No credit card is required to start the trial. Choosing a subscription during the trial does not restart it or cause a charge before its original end. You may cancel during the trial without a subscription charge. When the trial ends, you must select a paid plan and add a payment method to keep operating the Service; otherwise your account becomes read-only with export available. We will email you at least 7 days before your trial ends.
Plans and fees. Paid plans are described on our pricing page. Fees are charged in advance monthly or annually in US dollars, plus any applicable sales tax, VAT, or similar taxes. There are no setup fees and no per-user fees, but each plan has a stated limit on crew members.
Pro annual offer. Pro costs $99/month. Select Pro Annual during your original 60-day trial for $950/year, saving $238 compared with twelve monthly payments (approximately 20%, or $79/month). This annual rate continues while your subscription to that offer remains continuously active. New Pro annual selections after the trial cost $1,070/year (approximately 10% savings). Cancelling, lapsing or switching away forfeits the introductory annual rate; it does not create a new trial. Existing annual subscriptions retain their agreed prices. Pro+ remains $149/month or $1,430/year.
One business per subscription. Each subscription, and each free trial, covers one business. Each account owner may have one business, and a free trial is available once per owner email address. Running additional businesses requires a separate subscription.
Failed payments. If a renewal payment fails, you keep access for a 7-day grace period after your paid-through date while you update your payment method. If payment is not made by the end of the grace period, paid features are paused until it is.
Automatic renewal. Paid subscriptions renew automatically at your selected monthly or annual interval until you cancel. By adding a payment method you authorize us, through our payment provider, to charge your payment method for each renewal.
Payment provider. Our subscription payments are processed by Stripe, Inc. ("Stripe"). Your purchase is also subject to Stripe's terms and privacy notice. We do not store your full card number or security code.
Founding Member offer. The first 10 customers in total may claim founding pricing of $79/month; once those spots are claimed, the offer will not reopen. New Founding Members receive all current and future Pro+ features released during a five-year price guarantee measured from their original account signup date, plus priority support. At the first monthly renewal after that guarantee ends, standard Pro+ monthly pricing then available applies, with at least 30 days' notice of any change. Existing founding customers who subscribed under the earlier offer retain their original $79/month Pro price guarantee while continuously subscribed; the new five-year limit is not applied retroactively. Cancelling, lapsing or leaving the founding plan forfeits the offer. Features marked coming soon are available only when released; inclusion is not a release-date promise.
Price changes. We may change standard prices with at least 30 days' written notice. Changes apply from your next billing period after the notice period, subject to the founding and introductory annual guarantees above. If you do not agree, you may cancel before the change takes effect.
Cancellation. You can cancel at any time from your account settings or by emailing support@flagstonecrm.com. Cancellation takes effect at the end of your current paid billing period, and you keep access until then. Refunds are covered in our Refund Policy.
Failed payments. If a payment fails, we may retry it, suspend access after reasonable notice, and close the account if the balance stays unpaid.
5. Customer data
Your data. You keep all rights to the information you or your users put into the Service, including customer and property records, job notes, photos, estimates, invoices, and other content ("Customer Data"). You give us a limited, non-exclusive license to host, process, transmit, display, and back up Customer Data only as needed to provide, secure, support, and improve the Service for you, and as described in our Privacy Policy.
Your customers' information. Customer Data will include personal information about your own clients and their properties (for example names, addresses, phone numbers, emails, gate codes, pet warnings, and photos). For that information, you are the business responsible for it, and Flagstone acts as your service provider, processing it on your instructions. You promise that you have the right to collect and use that information, that you have given all notices and obtained all consents required by law, and that your use of the Service complies with applicable law. Section 5 and our Privacy Policy together form our data processing terms. If you need a separate signed data processing agreement, email legal@flagstonecrm.com.
Messages sent through the Service. If you use features that send emails, texts, estimates, invoices, or follow-up sequences to your clients, you are the sender. You are responsible for having proper permission for those messages and for complying with laws such as CAN-SPAM, the Telephone Consumer Protection Act, and similar state laws, including honoring opt-out requests.
Export and deletion. You may export your Customer Data at any time while your account is active. After your account closes, we will keep Customer Data for [30] days so you can export it, and then delete it as described in our Privacy Policy, except where we must keep it by law.
Usage data. We may collect and use technical and usage data about how the Service is used. We may use de-identified or aggregated data to operate and improve the Service, as long as it does not identify you or your clients.
6. AI features and credits
What AI does. The Service includes AI-assisted features such as drafting estimates and upsell suggestions, summarizing notes, and analyzing customer history. These features are provided using third-party AI model providers (see our Privacy Policy for how data is handled).
Credits. Each plan includes a monthly allowance of AI credits. Everyday CRM work, such as scheduling jobs, sending invoices, managing customers, and tracking payments, does not use credits. Each AI action uses a number of credits shown in the app before you run it. The examples on our website (such as 10, 20, or 50 to 150 credits) are typical and may change as AI features change. Your balance, the estimated actions remaining, the reset date, and a record of every deduction are available in your account, and we send alerts at 75% and 90% usage. Credits refresh each billing period. Unused credits do not roll over and have no cash value.
Changes. We may change credit costs, allowances, or AI features over time. We will give at least 30 days' notice of any change that reduces the credit allowance of your plan or materially increases the credit cost of existing actions, and we will not apply such a change to your account before the end of the notice period.
Fair use. Plans are intended for the normal business use of the subscribing business. Automated scripts, bulk generation, reselling AI output to others, non-business use, or attempts to extract or copy AI outputs at scale are not permitted. If your usage looks unusual, we will contact you before making any change to your account, except where needed to stop abuse, protect the Service, or comply with law.
AI output may be wrong. AI-generated content (including estimates, prices, scopes of work, summaries, and suggestions) may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and approving everything before you send it to a client or rely on it. Flagstone does not provide professional, legal, tax, engineering, or pricing advice, and AI output is not a guarantee of any job cost, profit, or result.
7. Acceptable use
You agree not to:
- use the Service in violation of any law or anyone's rights;
- upload unlawful, infringing, defamatory, or harmful content, or information you have no right to share;
- send spam or unsolicited messages, or use the Service to harass or mislead anyone;
- try to access accounts, data, or systems you are not authorized to access, or probe, scan, or test the vulnerability of the Service;
- interfere with or overload the Service, introduce malware, or bypass usage limits or security controls;
- copy, reverse engineer, decompile, or resell the Service or build a competing product using non-public parts of it;
- share your login with people outside your business, or exceed the crew member limit of your plan; or
- use the Service to build or train a competing AI model.
We may investigate suspected violations and suspend or remove content or accounts as described in Section 14.
8. Customer portal
The customer portal lets your clients view estimates, approve work, and make payments or payment requests. You are responsible for your relationship with your clients, for the accuracy of what you show them, and for any agreement you make with them. Flagstone is not a party to your contracts with your clients and is not responsible for disputes between you and them.
9. Payments between you and your clients
[CONFIRM BEFORE PUBLISHING: describe the payment processor used for client invoice payments (card and ACH). Stripe is used for Flagstone's own subscription billing, not for collecting your customers' invoices. Replace this paragraph with the name of the processor and its terms link, for example: "Card and ACH payments from your clients are processed by [PAYMENT PROCESSOR], which is a separate service with its own terms. By using client payments you agree to [PROCESSOR TERMS LINK]."]
Features that record or track cash, check, or other offline payments are for your bookkeeping only. Flagstone does not hold or transmit those funds. You are responsible for sales tax, income tax, and any chargebacks, refunds, or disputes with your clients.
10. Third-party services
The Service works with and depends on third-party services such as payment providers, hosting, email and text delivery, AI model providers, and mapping services. They are governed by their own terms. We are not responsible for their acts, outages, or changes, and we may replace providers at any time.
11. Our intellectual property
We and our licensors own all rights in the Service, including the software, design, text, graphics, and the Flagstone name and logo. These Terms give you only a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business during your subscription. If you give us feedback or suggestions, we may use them freely without obligation to you.
12. Support and availability
We aim to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free. We may perform maintenance, and some downtime may be unavoidable. Support is provided by chat and email; Pro plans receive standard support and Pro+ plans receive priority support. Support hours and response targets, if any, will be listed on our website and are goals, not guarantees.
13. Beta and new features
We may offer features labeled beta, preview, or early access. They are provided "as is," may change or be withdrawn at any time, and may have additional terms.
14. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or if we stop offering the Service. Where reasonable, we will give you notice and a chance to fix the problem first. After termination, your right to use the Service ends, and Section 5 (export and deletion) applies. Sections that by their nature should survive termination will survive, including Sections 5, 11, and 15 through 19.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FLAGSTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, RELIABLE, SECURE, OR ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FLAGSTONE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
17. Indemnification
You will defend and indemnify Flagstone and its officers, employees, and affiliates against third-party claims, and related losses, damages, and reasonable legal fees, arising from (a) Customer Data or your content, (b) your breach of these Terms or applicable law, (c) messages you send through the Service, or (d) your disputes with your clients or employees. We will tell you promptly of any claim and reasonably cooperate at your expense, and you may not settle a claim that imposes obligations on us without our consent.
18. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Before filing any claim, each party agrees to try in good faith to resolve the dispute by contacting the other and allowing 30 days for informal resolution. Any claim not resolved informally must be brought in the state or federal courts located in Suffolk County, Massachusetts, and each party consents to those courts' jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
19. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in the Service at least 30 days before it takes effect (unless the change is required by law or for security). By continuing to use the Service after the effective date, you accept the updated Terms. If you do not agree, cancel before the change takes effect.
20. General
These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and Flagstone about the Service and replace any earlier agreement. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be sent to the email address on your account; notices to us go to legal@flagstonecrm.com and 1309 Coffeen Avenue, STE 1200, Sheridan, WY 82801, United States.
